End User Licence Agreement (EULA)
This End User Licence Agreement (“EULA”) is a legal agreement between you (“you”, “Licensee”) and Explore Management Limited, trading as Edutainment UK (“we”, “us”, “our”), a company registered in England and Wales under company number 14755408, with its registered office at 71 Gerald Street, Newcastle Upon Tyne, England, NE4 8QH.
By downloading, installing, activating, or using Edutain Certificate Validator Pro (the “Software”), you agree to be bound by this EULA. If you do not agree, do not install or use the Software.
This EULA is supplemental to, and does not replace, our Terms and Conditions. If there is any conflict between this EULA and the Terms, the Terms prevail.
1. Grant of Licence
Subject to your compliance with this EULA and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the Software on the number of domains permitted by the tier you purchased:
- Single-Domain Licence — one production domain, plus one staging or development environment for that same domain.
- Multi-Domain Licence — the number of production domains stated on our pricing page at the time of purchase, each with its own staging or development allowance.
A WordPress multisite network counts as one domain per network, provided all sub-sites are operated by the same legal entity.
2. Open-Source Components
The PHP source code of the Software inherits the GNU General Public License v2 or later (GPL) from its dependency on WordPress. Your rights under the GPL in relation to that PHP source code are not restricted by this EULA.
However, the following are proprietary and licensed to you only under this EULA:
- your unique Licence Key,
- bundled images, CSS, JavaScript, and other non-PHP assets that are not GPL-covered,
- automatic updates delivered through Freemius,
- our support services.
The Software also bundles the following third-party libraries under their own licences:
- FPDF — free, permissive licence (bundled licence file included).
- PHP QR Code — LGPL v3 (bundled licence file included).
3. Permitted Use
You may:
- install and activate the Software on your Licensed Domains;
- install the Software on client sites you build and manage, provided those activations count against your Licence tier;
- use the Software to issue, validate, and manage certificates for your learners or customers;
- modify the GPL-covered PHP source code for your own use.
4. Prohibited Use
You must not:
- exceed the number of Licensed Domains permitted by your tier;
- share, resell, rent, lease, sublicense, or redistribute your Licence Key;
- distribute the Software as part of a theme, plugin, or other product bundle without our written permission;
- circumvent, disable, or attempt to circumvent the Software’s licensing, activation, or update mechanisms;
- remove or alter any copyright, trademark, or attribution notices in the Software;
- use the Software to process personal data unlawfully, or in violation of the UK GDPR or any other applicable data protection law;
- use the Software to issue false, misleading, or fraudulent certificates.
Nothing in this Section 4 restricts any right you have under the GPL in relation to the GPL-covered PHP source code.
5. Licence Key
Your Licence Key is unique to you. Treat it like a password. You are responsible for any use of the Software under your Licence Key.
If your Licence Key is compromised, contact us at buzz@edutainmentuk.com and we will reset it.
6. Activation and Updates
Licence activation, deactivation, and updates are handled by our licensing partner Freemius. Data transmitted during activation and updates is described in our Privacy Policy.
If you deactivate the Software on a domain, that activation slot is released and may be used elsewhere within your tier.
7. Data Responsibilities
The Software processes certificate data (course names, learner names, completion dates, certificate codes, optional expiry dates and custom fields) on your own WordPress installation. This data is not transmitted to us.
When you use the Software to process personal data of your learners or certificate holders, you are the data controller for that data under the UK GDPR. You are responsible for:
- having a lawful basis for processing that data,
- informing your learners about how their data is used,
- honouring their data subject rights,
- keeping the data secure on your own hosting.
8. Updates and Support
Your Licence includes automatic updates and access to support for as long as your Licence is active, subject to the scope in our Support Policy.
We may release updates that add, modify, or remove features. We will avoid breaking changes where reasonably possible and will announce material changes in the changelog.
9. Warranty Disclaimer
The Software is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Software will be uninterrupted, error-free, or compatible with every third-party plugin, theme, hosting environment, or WordPress version.
Nothing in this Section 9 limits any statutory rights you have as a consumer under UK law that cannot lawfully be limited or excluded.
10. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability arising from or in connection with the Software is limited to the amount you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profit, revenue, data, goodwill, or business opportunity.
Nothing in this Section 10 excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot lawfully be limited or excluded under UK law.
11. Termination
This EULA is effective until terminated.
We may terminate this EULA immediately if you materially breach it (including exceeding your Licensed Domains, sharing your Licence Key, or attempting to circumvent activation).
You may terminate this EULA at any time by uninstalling the Software from all Licensed Domains.
On termination, your right to receive updates and support ends. The Software will continue to function on your existing Licensed Domains until you uninstall it, but automatic updates will stop.
12. Governing Law
This EULA is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident in Scotland or Northern Ireland, you may bring proceedings in the courts of your home jurisdiction.
